Corporate Counsel - Legal & Compliance
Location: Dublin, Ireland, Hybrid

At Signant Health, we are driven by our commitment to enhance clinical research through innovative solutions. We are currently seeking a Corporate Counsel to join our Legal & Compliance team in Dublin. This role primarily supports our finance operations, focusing on corporate finance, governance, and compliance. The ideal candidate will work closely with our Finance department, playing a pivotal role in maintaining financial integrity and supporting strategic financial activities.

Key Responsibilities:

  • Act as the primary legal advisor for all matters related to corporate finance, including maintaining financial filings and board minutes.
  • Oversee legal aspects of financial operations such as recapitalization and negotiating with banks to secure better interest rates, ensuring all necessary permissions and compliance standards are met.
  • Provide strategic legal support to the Finance department, focusing on the enhancement and compliance of our Irish tax entity.
  • Draft, review, and negotiate contracts and other legal documents to support financial operations and corporate governance.
  • Advise and support the Board of Directors and its committees on governance, compliance, and strategic financial matters.
  • Coordinate internal efforts to ensure that all financial operations adhere to legal and regulatory requirements.
  • Manage and mentor team members within the legal department, fostering a collaborative and efficient work environment.

What You’ll Bring:

  • Education: Juris Doctor (JD) from an accredited institution, with membership in at least one state bar or equivalent.
  • Experience:
    • Strong experience in corporate law, with a significant focus on finance law and corporate governance.
    • Extensive experience in managing financial filings, corporate restructuring, and legal compliance.
    • Proven track record of working closely with financial departments to support and guide corporate financial strategies.
  • Skills:
    • Strong analytical and problem-solving skills, with the ability to handle complex legal and financial challenges.
    • Excellent communication and negotiation skills, capable of effectively managing relationships with key internal stakeholders.
    • A proactive, strategic thinker with a keen understanding of the legal implications of financial decisions.
